General Terms and Conditions of Sale — Mira Trips

TITLE I — GENERAL PROVISIONS

Article 1 — Purpose

These General Terms and Conditions of Sale (hereinafter "GTC Mira Trips") govern:

  • during the pre-sale phase (Title II): the provisioning of funds and the issuance of Priority Reservation Vouchers (BRP) by CES Venture SAS, acting as agent on behalf of the User;
  • during the effective sales phase (Title III): the reservation, sale and execution of Mira Trips by Hello Mira Travel France, acting as a package travel organiser within the meaning of Directive (EU) 2015/2302.

These GTC Mira Trips supplement the General Terms of Use (GTU) and the GTC Mira Pass of the Hello Mira Platform. In the event of any conflict, these GTC Mira Trips shall prevail within their scope of application.

Article 2 — Additional definitions

The definitions set out in the GTU apply. The following terms additionally have the following meanings:

Priority Reservation Voucher (hereinafter "BRP"): document issued during the pre-sale phase, granting the User a priority reservation right for a Mira Trip at guaranteed destination, dates and price, subject to the condition precedent of the incorporation and registration of Hello Mira Travel France.

Pre-sale phase: the period between the commercial launch of Hello Mira and the date of effective registration of Hello Mira Travel France with Atout France.

Effective sales phase: the period beginning on the date of effective registration of Hello Mira Travel France with Atout France.

Escrow Account: Stripe Connect account opened in the name of the User, on which the funds provisioned for a Mira Trip are deposited. Funds are kept separate from the assets of CES Venture and Hello Mira Travel France.

ADR (Average Daily Rate): total price of the Mira Trip divided by the number of days of the stay.

Organiser: Hello Mira Travel France, a company registered with Atout France, acting as a package travel organiser.

Traveller: the User holding a Mira Pass who has booked a Mira Trip, and, where applicable, their companions.

Companion: a natural person included in the booking of a Mira Trip by the Pass holder, without the need to have an account on the Platform or a Mira Pass.

TITLE II — PRE-SALE PHASE (Agency and Escrow)

Article 3 — Role of CES Venture during the pre-sale

3.1 Capacity as agent

During the pre-sale phase, CES Venture SAS acts as agent of the User within the meaning of Articles 1984 et seq. of the French Civil Code.

CES Venture does not sell package travel. It collects and holds the User's funds in a dedicated Escrow Account (Stripe Connect), with a view to applying them to the payment of a Mira Trip with Hello Mira Travel France, once the latter has been incorporated and registered with Atout France.

The provisioned funds do not constitute revenue for CES Venture. They remain the property of the User until their effective transfer to Hello Mira Travel France in connection with a confirmed booking.

3.2 Absence of travel sale

During the pre-sale phase, no package travel is sold or confirmed. The Priority Reservation Voucher constitutes a promise of reservation subject to a condition precedent, and not a travel contract.

Article 4 — Provisioning of funds

4.1 Escrow mechanism

The funds provisioned by the User are deposited in a Stripe Connect Escrow Account opened in the name of the User. These funds are:

  • legally and technically separated from the assets of CES Venture;
  • held by Stripe (a licensed electronic money institution) on behalf of the User;
  • not commingled with the operational funds of CES Venture;
  • protected in the event of CES Venture's default: the escrowed funds do not form part of the company's assets in the event of insolvency proceedings.

The costs of managing the Escrow Account (Stripe commissions) are borne by CES Venture.

The opening and use of the Escrow Account imply acceptance by the User of the terms of use of Stripe (Stripe Payments Europe, Ltd.), accessible at https://stripe.com/fr/legal, as well as the specific conditions applicable to Stripe Connected Accounts (Stripe Connected Account Agreement).

4.2 Visibility of funds

The User may consult the balance of their provisioned funds at any time via their Wallet on the Platform (mobile application or website).

Article 5 — Priority Reservation Voucher (BRP)

5.1 Issuance of the BRP

When the User provisions funds by associating them with a destination, dates and a type of stay, Hello Mira issues a Priority Reservation Voucher which states:

  • the chosen destination;
  • the dates of the stay;
  • the duration of the stay;
  • the type of accommodation;
  • the guaranteed price (excl. tax);
  • any supplements (accommodation, international flight);
  • applicable discounts (Early Bird, duration);
  • the date of issuance of the BRP.

5.2 Legal nature of the BRP

The BRP constitutes a unilateral promise of reservation granted by Hello Mira in favour of the User, subject to the following condition precedent:

The incorporation and effective registration of Hello Mira Travel France with Atout France, at the latest by 15 August 2026.

The BRP does not constitute a package travel contract. It grants the User:

  • a priority reservation right for the described trip;
  • a price guarantee: the price stated in the BRP cannot be increased upon conversion into a firm booking;
  • a right to full reimbursement if the condition precedent is not fulfilled within the prescribed period.

5.3 Failure of the condition precedent

If Hello Mira Travel France is not incorporated and registered with Atout France by 15 August 2026 at the latest, the BRPs issued shall become null and void and the provisioned funds shall be fully returned to the User by bank transfer within 60 days.

Article 6 — Withdrawal of funds during the pre-sale phase

6.1 Funds not associated with a BRP

The User may request the withdrawal of their provisioned funds at any time, as long as they are not associated with a Priority Reservation Voucher, free of charge and without penalty.

The reimbursement is made by bank transfer within a maximum period of 60 days from the date of the request.

6.2 Funds associated with a BRP

The withdrawal of funds associated with a BRP constitutes a cancellation of the Priority Reservation Voucher. The penalty schedule set out in Article 14 of these GTC applies, calculated from the departure date stated in the BRP.

TITLE III — EFFECTIVE SALES PHASE (Package Travel)

Important note: The provisions of this Title are not yet in force. They will enter into force upon the effective registration of Hello Mira Travel France with Atout France (expected before 15 August 2026). Information marked "[To be completed]" will be filled in at that date and communicated to Users in accordance with the transition procedure set out in Article 8. In the meantime, only the provisions of Title II (Pre-sale Phase) are applicable.

Hello Mira Travel France is responsible for the proper execution of all services included in the Mira Trip, in accordance with Directive (EU) 2015/2302 on package travel, transposed into French law by Ordinance No. 2017-1717 of 20 December 2017.

Article 8 — Transition from pre-sale to effective sales phase

8.1 Notification of the final GTC

Upon registration of Hello Mira Travel France with Atout France, Users holding a Priority Reservation Voucher shall be notified by email of the final GTC Mira Trips of Hello Mira Travel France.

This notification shall take place at the latest 60 days before the departure date stated in the BRP.

8.2 Automatic confirmation

The User has a period of 15 days from the notification to review the final GTC.

Upon expiry of this 15-day period, in the absence of any objection from the User:

  • the BRP is automatically converted into a firm booking with Hello Mira Travel France;
  • the funds provisioned in the Escrow Account are transferred to the account of Hello Mira Travel France up to the amount due;
  • the final GTC Mira Trips of Hello Mira Travel France replace the pre-sale conditions.

8.3 Right of objection

During the 15-day period following notification, the User may object to the conversion of their BRP into a firm booking, by email to [[email protected]].

In the event of an objection, the provisioned funds shall be fully returned to the User by bank transfer within 60 days, without penalty.

Article 9 — Description of a Mira Trip

9.1 Format

A Mira Trip is a slow travel stay, with a minimum duration of 28 days and a maximum of 180 days, designed for remote workers (digital nomads) travelling alone or accompanied.

9.2 Services included in the base price

The base price per day includes:

  • accommodation in a coliving space;
  • domestic flights on location;
  • one (1) Mira Amigo experience per week (local immersion);
  • coordination and support by the Hello Mira Platform (24/7 chat assistance).

9.3 Options and supplements

The base price may be supplemented by the following options:

Accommodation: upgrade available (3-star hotel, 4-star hotel / Airbnb, 5-star hotel / premium). The supplement per night varies according to the destination and category.

International flight: supplement based on the distance between the Traveller's city of departure and the destination:

Article 10 — Pricing

10.1 Base price

The base price per day varies according to the destination. The prices in force are available on the Platform.

Prices are expressed in euros excluding taxes (excl. VAT).

10.2 Seasonality

A seasonality coefficient is applied to the base price per day:

  • high season: +20% to +40%;
  • normal season: base price;
  • low season: -10% to -20%.

In the event of overlapping seasons, the price is calculated on a pro rata basis according to the number of days in each season.

10.3 Long-stay discounts

Progressive discounts apply to the total price (accommodation + supplements) based on the duration of the stay:

These discounts are applied by bracket and are not retroactive.

10.4 Mira Pass discounts

Discounts related to the Mira Pass tier (Super Early Bird, Early Bird, Late Early Bird) apply in accordance with the GTC Mira Pass.

10.5 Last-minute surcharge

In the event of a late booking, a surcharge applies:

Article 11 — Booking conditions

11.1 Prerequisites

The confirmation of a Mira Trip booking is subject to the fulfilment of five (5) cumulative conditions:

  1. Acceptance of the GTU and GTC (GTC Mira Pass and GTC Mira Trips);
  2. Active Mira Pass: the booking holder must hold a valid Mira Pass;
  3. Identity verification (KYC): upload and validation of the Traveller's passport;
  4. Security deposit: payment of the deposit (Article 12.3);
  5. Travel insurance: the Traveller must provide proof of personal travel insurance covering at a minimum medical expenses abroad, repatriation and civil liability abroad, valid for the entire duration of the stay and for the destination concerned. Hello Mira may recommend partner insurers, without this constituting an obligation to take out a policy with them.
  6. The booking is automatically confirmed once the five prerequisites are fulfilled.

    11.2 Responsibility of the booking holder

    The booking holder (Mira Pass holder) is the sole contractual counterpart of Hello Mira Travel France. They are financially responsible for the entire booking, including for any companions.

    Companions are not parties to the travel contract and do not need to have an account on the Platform or a Mira Pass.

    11.3 Eligibility

    Each destination may define specific eligibility criteria:

    • citizenship or type of visa required;
    • minimum age (18 years) and maximum age (varies by destination);
    • number of previous Mira Trips (some destinations reserved for experienced travellers).

    Eligibility criteria are displayed on the Platform for each destination.

    11.4 Travel documents

    Obtaining the necessary travel documents (valid passport, visa, vaccinations, entry authorisations) is the sole responsibility of the Traveller.

    Hello Mira provides information tools (specialist Mira Agents, eligibility verification) for purely informational purposes. These tools do not replace official information from the authorities of the destination country and do not engage the liability of Hello Mira.

    In the event of a visa refusal or non-compliance of travel documents, the Traveller may not invoke this reason to benefit from derogatory cancellation conditions. The standard cancellation penalty schedule (Article 14) applies.

    Article 12 — Payment terms

    12.1 Stay of 30 days or fewer

    The total price of the Mira Trip is payable in one single instalment, at the latest 30 days before the departure date.

    12.2 Stay of more than 30 days

    The Traveller may choose between two payment options:

    Option A — Single payment:

    • 100% of the total price, due 30 days before departure;
    • discount of -2.5% on the total price.

    Option B — Monthly payment:

    • Deposit at D-30: 30 Ɨ ADR;
    • 1st instalment at D+0 (departure day): 30 Ɨ ADR;
    • Subsequent instalments: 30 Ɨ ADR every 30 days;
    • Final instalment: adjusted balance;
    • Full price (no discount).

    12.3 Security deposit

    A security deposit equal to 30 days of ADR is required upon confirmation of the booking.

    This deposit is held for the entire duration of the stay. It is returned to the User's Wallet at the end of the Mira Trip, net of any outstanding amounts, penalties or sums owed to Hello Mira Travel France.

    12.4 Management of outstanding payments (monthly payment)

    In the event of a missed instalment:

    • D+0: notification of the missed instalment;
    • D+15: grace period for regularisation (15 days);
    • After D+15: progressive suspension of services;
    • Beyond: cancellation of the stay and deduction from the security deposit.

    Article 13 — Standard information form

    In accordance with Directive (EU) 2015/2302 and the Order of 1 March 2018, the Traveller is informed, before the conclusion of the contract, by means of the standardised information form, that:

    • the combination of travel services offered constitutes a package within the meaning of the directive;
    • the Organiser (Hello Mira Travel France) is responsible for the proper execution of all travel services included in the contract;
    • Hello Mira Travel France has insolvency protection (financial guarantee);
    • the contact details of the entity responsible for insolvency protection are: [To be completed];
    • the Traveller may contact the Organiser via the 24/7 assistance chat or by email at [[email protected]];
    • the Traveller may transfer the package to another traveller, subject to conditions;
    • the Traveller has essential rights under the directive, in particular in the event of non-conformity of services.

    The complete standard information form is provided to the Traveller during the booking process, before payment.

    Article 14 — Cancellation policy

    14.1 Before booking confirmation

    Cancellation is free at any time, without charges or penalty. The provisioned funds are fully returned.

    14.2 After confirmation — Before departure

    The cancellation penalty is calculated on the basis of 30 days of ADR:

    The reimbursement (price paid minus the penalty) is credited to the User's Wallet. The User may then request a bank transfer under the conditions set out in the GTU.

    14.3 During the stay

    In the event of cancellation during the stay:

    • days consumed are non-refundable and recalculated at the unit price without application of long-stay discounts;
    • an additional penalty of 15 days of ADR is applied;
    • any reimbursement (deposit — recalculated days consumed — penalty) is credited to the Wallet.

    14.4 Cancellation by the Organiser

    Hello Mira Travel France may cancel a Mira Trip in the following cases:

    • extraordinary and unavoidable circumstances at the destination (political instability, natural disaster, health crisis, recommendation by the French authorities against any travel to the country);
    • minimum number of participants not reached (if applicable).

    In the event of cancellation by the Organiser, the Traveller is fully reimbursed within 14 days.

    14.5 Extraordinary and unavoidable circumstances

    The Traveller may terminate the travel contract without penalty in the event of extraordinary and unavoidable circumstances occurring at or in the immediate vicinity of the destination, having significant consequences on the performance of the package, in accordance with Article L211-14 of the Tourism Code.

    Article 15 — Extension of stay

    15.1 Conditions

    The Traveller may request an extension of their stay under the following conditions:

    • the Mira Trip is ongoing or confirmed;
    • the total duration (initial stay + extension) does not exceed 180 days;
    • the availability of accommodation and services permits it.

    15.2 Pricing of the extension

    The extension is priced based on the ADR of the original booking. Long-stay discounts continue to apply from the initial day of the stay (brackets are not reset).

    Management fees may apply, varying by destination.

    15.3 Cancellation of the extension

    Cancellation of the extension is independent of the original booking and subject to the penalty schedule of Article 14.

    Article 16 — Transfer of contract

    In accordance with Article L211-11 of the Tourism Code (transposition of Article 9 of Directive 2015/2302), the Traveller may transfer their travel contract to another traveller, provided that:

    • the transferee meets the eligibility conditions (Article 11.3);
    • the transferee satisfies the five booking prerequisites (Article 11.1);
    • the transferor informs Hello Mira Travel France within a reasonable time before departure;
    • the transferee holds an active Mira Pass.

    The transferor and transferee are jointly and severally liable for payment of the outstanding price and any transfer fees.

    Article 17 — Modifications by the Organiser

    17.1 Minor modifications

    Hello Mira Travel France may modify non-essential elements of the package (change of accommodation of the same category, adjustment of schedules, replacement of an Amigo) without the Traveller being entitled to termination or a price reduction.

    17.2 Substantial modifications

    In the event of a substantial modification of an essential element of the package (destination, dates, accommodation category, main services), Hello Mira Travel France informs the Traveller as soon as possible. The Traveller may:

    • accept the modification;
    • request a substitute package of equivalent or superior quality;
    • terminate the contract without penalty and obtain a full reimbursement within 14 days.

    Article 18 — Liability of the Organiser

    18.1 Principle

    In accordance with Article L211-16 of the Tourism Code, Hello Mira Travel France is fully liable for the proper execution of all travel services included in the package, whether these services are performed by itself or by other service providers (accommodation providers, airlines, Amigos).

    18.2 Non-conformity

    In the event of non-conformity of a service with respect to the contract, the Traveller notifies Hello Mira Travel France as soon as possible via the 24/7 assistance chat. Hello Mira Travel France shall endeavour to remedy this within a reasonable period.

    If the non-conformity is not remedied, the Traveller may claim:

    • a price reduction proportional to the duration and severity of the non-conformity;
    • damages for the harm suffered, unless the non-conformity is attributable to the Traveller, to a third party unrelated to the provision of services, or to extraordinary and unavoidable circumstances.

    18.3 Assistance

    Hello Mira Travel France provides assistance to Travellers in difficulty, in particular through:

    • a chat assistance service available 24 hours a day, 7 days a week;
    • the provision of useful information on health services, consular authorities and local assistance;
    • assistance in organising alternative solutions in the event of travel disruption.

    Article 19 — Insurance and guarantees

    19.1 Financial guarantee

    Hello Mira Travel France benefits from a financial guarantee in accordance with Articles L211-18 et seq. of the Tourism Code, covering the reimbursement of funds paid by Travellers and repatriation in the event of the Organiser's insolvency.

    19.2 Professional liability insurance

    Hello Mira Travel France has taken out professional liability insurance in accordance with Article L211-18 of the Tourism Code.

    19.3 Traveller's travel insurance

    Personal travel insurance for the Traveller is a mandatory prerequisite for the confirmation of any booking (Article 11.1).

    The insurance must cover at a minimum:

    • medical and hospitalisation expenses abroad;
    • medical repatriation;
    • civil liability abroad.

    Evacuation or repatriation costs in the event of extraordinary circumstances (security crisis, natural disaster) are the responsibility of the Traveller, via their personal travel insurance.

    Hello Mira Travel France accepts no liability for costs not covered by the Traveller's travel insurance.

    Article 20 — Limitation period

    In accordance with Article L211-17-2 of the Tourism Code, claims for liability for non-conformity shall be time-barred after two (2) years from the end of the trip.

    TITLE IV — COMMON PROVISIONS

    Article 21 — Personal data

    The processing of personal data collected in connection with the booking and execution of Mira Trips is governed by the Hello Mira Privacy Policy, accessible from the Platform.

    The Traveller may, with their explicit consent, authorise Hello Mira to transmit their passport data to travel service providers (airlines, accommodation providers) to facilitate formalities. This consent is optional and may be withdrawn at any time.

    Article 22 — Applicable law and dispute resolution

    22.1 Applicable law

    These GTC Mira Trips are governed by French law.

    In accordance with Regulation (EC) No 593/2008 (Rome I), Travellers residing in a Member State of the European Union benefit from the mandatory provisions of the legislation of their country of residence, where these are more protective.

    22.2 Mediation

    In accordance with Articles L612-1 et seq. of the Consumer Code, in the event of a dispute not resolved by the customer service, the Traveller may have free recourse to the:

    22.3 Jurisdiction

    In the absence of amicable resolution or mediation, any dispute shall be submitted to the jurisdiction of the courts of Lille, without prejudice to the consumer's right to bring proceedings before the court of their place of residence.

    Article 23 — Languages

    These GTC Mira Trips are available in French, English and Spanish. In the event of any discrepancy between the language versions, the French version shall prevail.
