General Terms and Conditions of Sale — Mira Pass
Article 1 — Purpose
These General Terms and Conditions of Sale (hereinafter "Mira Pass GTC") govern the subscription, use and renewal of the Mira Pass, an annual subscription granting access to the premium services of the Hello Mira Platform.
These Mira Pass GTC supplement the Platform's General Terms of Use (GTU), which the User must have accepted beforehand. In the event of any contradiction, these Mira Pass GTC shall prevail within their scope of application.
Article 2 — Selling entity

Article 3 — Description of the Mira Pass
3.1 Included services
The Mira Pass is a subscription granting access to the following premium services:
- Mira Chat: access to the integrated messaging application, including conversations with Mira Agents (agents specialised by country and topic), private messaging and Mira Tribes;
- Mira Tribe: access to the Nomads community (network, events, exclusive channels);
- Mira Brain: access to the advanced AI travel planning tool;
- Eligibility for Mira Trips: the Mira Pass is a mandatory prerequisite for booking a Mira Trip;
- Partner benefits: offers and discounts negotiated with Hello Mira's partners.
3.2 Personal and non-transferable nature
The Mira Pass is strictly personal and non-transferable. It is linked to the account of the User who subscribed and may under no circumstances be assigned, lent, shared or transferred to a third party.
Any use of the Mira Pass by a person other than its holder constitutes serious misconduct within the meaning of Article 12.2 of the GTU, resulting in the immediate exclusion of the holder and the loss of the Mira Pass without refund.
3.3 Group booking
The holder of an active Mira Pass may make a Mira Trip booking for themselves and accompanying guests. One person only (the Pass holder) holds the booking and is the contractual and financial responsible party. Accompanying guests do not need to hold a Mira Pass or an account on the Platform.
Article 4 — Pricing
4.1 Prices
Mira Pass prices are expressed in euros excluding tax (ex-VAT). The applicable value added tax (VAT) is added at the time of payment, at the rate in force in the User's country of residence, in accordance with the VAT rules on electronic services supplied to consumers in the European Union.
For Users residing outside the European Union, French VAT (20%) applies, unless otherwise provided by a tax treaty.
4.2 Standard price
The standard price of the Mira Pass is €300 ex-VAT per year.
4.3 Launch offers
As part of the Platform launch, Hello Mira offers preferential pricing according to the following schedule:

Discounts on Mira Trips (Trip 1, Trip 2) apply to the base price of the trip, according to the terms set out in the General Terms and Conditions of Sale — Mira Trips.
4.4 Retention of the preferential rate
The benefit of the preferential rate (Super Early Bird, Early Bird, Late Early Bird) is conditional upon continuous renewal of the Mira Pass, without interruption. In the event of non-renewal at the due date, the preferential rate is permanently lost, without any grace period. The next subscription will be charged at the rate in force at the time of the new subscription.
Exception — Founding Members (Article 5).
Article 5 — Founding Member status
5.1 Eligibility conditions
Founding Member status is awarded to the first 10 Users who have subscribed to a Mira Pass under the Super Early Bird offer.
5.2 Benefits
The Founding Member benefits from:
- the €150 ex-VAT rate for access to the Mira Pass;
- maximum discounts on Mira Trips (-10% Trip 1, -5% Trip 2);
- these benefits for life, subject to the provisions of Article 5.3.
5.3 Nature of the Founder Pass
The Mira Pass Fondateur is a one-time subscription: the Founding Member pays €150 ex-VAT once only and benefits from access to the Mira Pass without having to renew or pay again.
The Mira Pass Fondateur is valid for life subject to:
- the continuity of services of the Platform under conditions substantially similar to those existing at the time of subscription. If Hello Mira substantially modifies the nature of the services included in the Mira Pass, Founding Members retain access to the services existing at the time of their subscription. Services added subsequently may be subject to separate pricing conditions;
- the absence of serious misconduct on the part of the Founding Member within the meaning of Article 12.2 of the GTU, resulting in the loss of the Pass without refund;
- the continuation of Hello Mira's activity. In the event of cessation of activity or exceptional circumstances making it impossible to provide the services, the Mira Pass Fondateur shall terminate without compensation.
Article 6 — Subscription
6.1 Subscription process
Subscription to the Mira Pass is completed online, via the Platform (website or mobile application). Subscription may take place:
- independently, from the "My Account" section;
- during the Mira Trip booking process, the Mira Pass being a prerequisite.
6.2 Subscription steps
- Selection of the Mira Pass offer;
- Acceptance of these Mira Pass GTC;
- Entry of payment information;
- Confirmation and payment;
- Immediate activation of the Mira Pass.
- access to premium services (Mira Chat, Mira Tribe, Mira Brain) is suspended;
- the User retains access to the Platform's free services;
- the User retains access to their Wallet and may consult their balance and request a withdrawal of funds;
- the User may no longer book a new Mira Trip. To make a booking, they must subscribe to a new Mira Pass;
- confirmed bookings made before the Pass expiry remain valid and are not affected by non-renewal;
- the preferential rate (Early Bird) is permanently lost in accordance with Article 4.4.

- voluntary account termination by the User;
- exclusion for serious misconduct;
- non-use of the services during the subscription period;
- death or incapacity of the User.

6.3 Confirmation
The subscription is confirmed by sending a confirmation email to the User's email address, together with an order summary and an invoice.
Article 7 — Payment methods
Payment for the Mira Pass is made by bank card (Visa, Mastercard, American Express) via the secure payment provider Stripe (Stripe Payments Europe, Ltd.).
Hello Mira does not store the User's bank card data. Payment processing is managed entirely by Stripe, in compliance with PCI-DSS standards.
Use of the payment services implies the User's acceptance of Stripe's terms of use (https://stripe.com/legal), in accordance with Article 10.5 of the GTU.
Article 8 — Duration and renewal
8.1 Duration
The Mira Pass is subscribed for a period of one (1) year from the date of subscription.
Exception: the Mira Pass Fondateur is subscribed for an indefinite period (Article 5).
8.2 Renewal
Renewal of the Mira Pass is manual: the User must actively proceed with renewal before or after the expiry of their Pass. There is no automatic renewal.
Hello Mira will inform the User of the approaching expiry date of their Mira Pass by email, as a courtesy.
8.3 Consequences of non-renewal
In the event of non-renewal, from the Mira Pass expiry date:
Article 9 — Right of withdrawal
9.1 Principle
In accordance with Articles L221-18 et seq. of the Consumer Code and Directive 2011/83/EU, the User has a right of withdrawal of 14 days from the date of subscription to the Mira Pass, without having to justify any reason or pay any penalty.
9.2 Exercise of the right of withdrawal
To exercise their right of withdrawal, the User must notify their decision by an unambiguous statement:

9.3 Refund
In the event of withdrawal within the 14-day period, Hello Mira shall refund the full price of the Mira Pass, including VAT, within 14 days of receipt of the withdrawal notification.
The refund shall be made by the same payment method used for the subscription, unless the User expressly agrees to another method.
Article 10 — Non-refundability
Outside of the right of withdrawal provided for in Article 9, the Mira Pass is non-refundable, whether in full or on a pro-rata basis for the remaining period.
This applies in particular in the event of:
Article 11 — Invoicing
An invoice is issued at each subscription or renewal of the Mira Pass. The invoice states:
The invoice is made available to the User in their "My Account" section and sent by email.
Article 12 — Personal data
The processing of personal data collected in connection with the subscription and use of the Mira Pass is governed by Hello Mira's Privacy Policy, accessible from the Platform.
Article 13 — Applicable law and dispute resolution
13.1 Applicable law
These Mira Pass GTC are governed by French law.
In accordance with Regulation (EC) No. 593/2008 (Rome I), Users residing in a Member State of the European Union benefit from the mandatory provisions of the legislation of their country of residence, where these are more protective.
13.2 Mediation
In accordance with Articles L612-1 et seq. of the Consumer Code, in the event of a dispute not resolved by customer service, the User may have free recourse to:

13.3 Competent jurisdiction
In the absence of amicable resolution or mediation, any dispute shall be submitted to the jurisdiction of the courts of Lille, without prejudice to the consumer's right to bring a claim before the court of their place of residence.
Article 14 — Languages
These Mira Pass GTC are available in French, English and Spanish. In the event of any discrepancy between the language versions, the French version shall prevail.
